NDP approves 2.5% bonus shares at second AGM
Kathmandu . Nepal Development Public Limited (NDP) has approved a 2.5 percent bonus share distribution from its profit for the fiscal year 2025/26.
The decision was taken at the company’s second Annual General Meeting (AGM) held on Sunday under the chairmanship of Chairman Chandra Prasad Dhakal.
The AGM endorsed the company’s annual report, financial statements and auditor’s report for the fiscal year 2082/83. It also approved the independent director appointed by the board.
Along with the bonus shares, shareholders approved a cash dividend of Rs 1.55 million to meet the tax liability on the bonus shares.
The AGM also authorized the board to acquire or merge with other companies if their objectives are compatible with NDP’s business.
The meeting approved several changes to the company’s memorandum and articles of association. With the amendments, NDP can issue convertible debentures, preference shares and other financial instruments aimed at foreign investors. The company can also seek financing through international mechanisms such as the Green Climate Fund and blended finance.
A provision to reserve 20 percent of the issued capital for the general public was also approved.
NDP recorded a net profit of Rs 73.3 million after tax in fiscal year 2082/83. The company’s paid-up capital currently stands at Rs 1.1835 billion.
Addressing the AGM, Chairman Dhakal said the company was established with the objective of mobilizing domestic capital for large infrastructure projects and creating investment and employment opportunities within Nepal.
He said NDP aims to bring together capital scattered across Nepal and abroad and channel it into productive sectors, major infrastructure and strategically important projects.
According to Dhakal, the company was not established solely to generate profit. It also aims to contribute to improving Nepal’s investment environment and increasing domestic capital mobilization.
Dhakal said he was encouraged by the fact that NDP’s shareholder base has now reached all 77 districts of Nepal.
He said the company plans to expand its investment in sectors including hydropower, cable-car tourism and information technology in the coming years.
